F.A.C.E.S. is an organization of Fellows, Diplomates and Board eligibles of the Philippine Society of Otolaryngology-Head and Neck Surgery working together in the improvement of Facial Aesthetic Plastic Surgery in the Philippines thru continuing research and relevant training of its members.
It shall be a premiere organization dedicated to the upliftment of the science of Facial aesthetic plastic surgery in the Philippines.Announcements

Article 1. Legal Persona – The name of this organization shall be F.A.C.E.S.(Facial Aesthetic plastic Core of ENT-Head & Neck Surgeons) Article 2. Purpose and Ideals – The primary purpose of FACES is to enhance the practice of Facial Aesthetic Plastic Surgery. This is to be achieved through a) The interchange of knowledge and ideas among its members, b) Undertaking basic and clinical researches, and c) Organizing continuing medical education activities. It shall also act as the main liaison organization through which such knowledge and ideas shall be disseminated to the Philippine Society of Otorhinolaryngology-Head and Neck Surgery (PSO-HNS), other Health Organizations and the General Public. ARTICLE IMEMBERSHIP Section 1. Eligibility – All active Fellows of the Philippine Society of Otolaryngology-Head and Neck Surgery (PSO-HNS), Diplomates of the Philippine Board of Otolaryngology-Head and Neck Surgery (PBO-HNS), and Graduates of accredited ENT institutions are eligible to join FACES. Section 2. Application – Attendance in two consecutive regular monthly meetings shall be considered an expression of enthusiasm to join. The Officers of the Board of Directors of FACES shall consider the applicant as member upon deliberation and final approval. Section 3. Automatic Member – All Section Heads of Facial Plastic & Reconstructive Surgery in the Philippine Board of Otolaryngology-Head and Neck Surgery (PBO-HNS) accredited training institutions shall be considered automatic members. Section 4. Active Member – A member shall be considered an Active Member pursuant to the provisions of Article II pertaining to Duties and Responsibilities. ARTICLE IIDUTIES AND RESPONSIBILITIES Section 1. Purpose and Ideals – Members are enjoined to serve the purpose and meet the ideals of FACES stated in the Articles of Organization. Section 2. Meetings – Members are enjoined to attend the regular scientific bimonthly meeting. Active members are expected to attend not less than 3 (50%) of total meetings per annum.Section 3. Discussions – Members are enjoined to contribute informations during Academic Discussions. Active members are expected to give at least one oral presentation regarding a topic of his choice or interest.
Section 4. Projects and Programs – Members are enjoined to participate in activities organized by FACES.
ARTICLE III MEETINGS
Section 1. Regular Scientific Meetings – The regular meetings of members shall be held on every third Wednesday of odd months (January, March etc), if a legal holiday, then on the following Wednesday. The scheduled meeting date may be subject to change depending on special circumstances, e.g. Force-majeure, conflict of schedules, et al. Section 2. Business Meeting – The business meeting is solely for the officers and shall be on even months (February, April etc) Section 3. Place of Meeting – Meetings, whether regular or business, shall be held at any place designated by the President. Section 4. Notice of Meeting – The secretary shall send notices for meetings. The notice shall state the place, date and hour of the meeting, and the purpose or purposes for which the meeting is called. Section 5. Quorum – In all regular meetings of members for the purpose of voting, a simple majority must be present inorder to constitute a quorum, which shall be fifty percent of the attendees plus 1 individual. If no quorum is constituted, the voting shall be postponed until the requisite attendance shall be present. In all business meetings for the purpose of Voting on administrative and operational policies and issues, a simple majority of the Officers and Directors must be present inorder to constitute a quorum. Section 6. Conduct of Meeting – Meeting of the members shall be presided over by the President, or in his absence, by a Chairman to be chosen by the members. The Secretary shall act as the secretary of the meeting, but if not present, the Chairman of the meeting shall appoint a secretary of the meeting. Section 7. Manner of Voting – At all meetings, a member must vote in person. The manner of voting shall be via a show of hands.
ARTICLE IV OFFICERS AND BOARD OF DIRECTORS
Section 1. Election – The Officers and Board of Directors shall be elected on the last Regular meeting of the fiscal year or on a designated day during the Annual Convention of the PSO-HNS. Section 2. President – The President shall exercise the following functions: a. To preside at the meetings of the members; b. To initiate and develop the FACES' objectives and policies and formulate long-range projects, plans and programs; c. To implement the administrative and operational policies of FACES; d. To oversee the preparation of the budget and the statement of accounts of FACES; e. To represent FACES at all functions and proceedings; f. To execute in behalf of FACES all contracts, agreements and other instruments affecting the interest of FACES; g. To make reports on the members; h. To perform such other duties as are incident to his office. Section 3. Vice-President – He shall act as President in the absence of the latter. He shall have such other powers and duties as may from time to time be assigned to him by the President. Section 4. Secretary – The secretary shall have the following duties: a. To record the minutes and transactions of all meetings of the members; b. To attend to the giving and serving of all notices of FACES; c. To perform such other duties that are incident to his office, or as may be assigned to him by the President. Section 5. Treasurer – The treasurer shall have the following duties: a. To give full and accurate account of receipts and disbursements of FACES; b. To have custody of, and be responsible for, all the funds, securities and bonds of FACES; c. To deposit in the name and to the credit of FACES in such bank as may be designated from time to time by the Officers all the money, funds, securities, bonds, and similar valuable effects belonging to FACES which may come under his control; d. To render annual statements showing the financial condition of FACES, and such other financial reports as the President may from time to time require; e. To perform such other duties as are incident to his office, or as may be assigned to him by the President. Section 6. Public Relations Officer (PRO) – The PRO shall have the following duties: a. To promote and enhance the name and profile of FACES; b. To act as liaison officer between FACES and members of other Health organizations; c. To perform such other duties that are incident to his office, or as may be assigned to him by the President. Section 7. Board of Directors – An eight (8) member Board of Directors shall be elected,. The Board shall have the following duties: a. From time to time, to make and change rules and regulations not inconsistent with these by-laws for the management of FACES' business and affairs; b. To implement these by-laws and to act on any matter not covered by these by-laws. Section 8. Term of Office – The term of office of all officers and directors shall be two years and until their successors are elected and duly qualified.
ARTICLE V
OFFICES Section 1. The principal office of FACES shall be located at the Residency Training Institution with which the President is affiliated.
ARTICLE VI FISCAL YEAR Section 1. Fiscal Year – The fiscal year for FACES shall begin on the 1st day of January and end on the last day of December of each year.
ARTICLE VII
AMENDMENTS Section 1. These by-laws may be amended or repealed by the affirmative vote of at least a simple majority of the members at any meeting called for that purpose. However, the power to amend, modify, repeal or adapt new by-laws may be delegated to the Officers by the affirmative vote of members representing not less than two-thirds (2/3) of the general membership |
